Terms of Service

These Terms govern your use of Salí (the "Service"), a personal-safety app operated by Sali Circles LLC ("Salí," "we," "us"), a Colorado limited liability company. By creating an account or using Salí, you agree to these Terms. If you don't agree, please don't use the app.

1. Eligibility

You must be at least 18 years of age to use the Service. We ask for your date of birth when you sign up and will not create an account for anyone under 18. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into a binding agreement. If we learn that an account belongs to someone under 18, we will close it and delete the associated data.

2. Description of Service

Salí helps users stay connected, coordinate safety with trusted contacts ("Circles"), and respond to emergencies. Core features include:

• Real-time GPS location sharing with Circle members.
• SOS emergency alerts sent to your Circle members, and to your safety contacts by email if you choose.
• The ability for a Circle member to raise an alarm on your behalf if you cannot reach your own phone.
• Group chat within Circles, direct messages, and Salimos groups, including text, photo, voice, and location messages.
• Safety buzzword detection to alert your Circle to potential distress.
• Check-in and session monitoring tools.
• Safe zone geofencing and alerts.
• Ping and Flare notifications to check on or signal Circle members.
• Temporary statuses visible to the friends or Circle you select.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. Safety features — critical limitations

You acknowledge and agree to the following critical limitations:

• Not a substitute for 911 — in any life-threatening emergency, call 911 or your local emergency number first. SOS alerts via Salí reach your emergency contacts, not law enforcement or emergency medical services.
• Network dependency — SOS alerts, location sharing, and notifications depend on an active internet or cellular connection and may fail in areas with poor coverage. Salí queues SOS alerts when offline and attempts delivery when connectivity is restored, but this is not guaranteed.
• GPS accuracy — location data depends on your device's GPS hardware and environmental conditions. Accuracy varies and should not be relied on for precision navigation in emergencies.
• Contact availability — we cannot guarantee your contacts will receive, view, or respond to alerts in time.
• Buzzword detection — automated and may produce false positives or false negatives. It is not a substitute for human judgment.
• Battery and device — safety features require a charged device. Salí is not responsible if your device is off, dead, or unavailable when an emergency occurs.

4. User accounts

• Provide accurate and truthful registration information.
• Keep your contact information up to date, especially emergency contacts.
• Notify us immediately at support@salicircles.com if you suspect unauthorized access.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe are being used fraudulently.

5. Objectionable content and abusive users — zero tolerance

Salí has zero tolerance for objectionable content and for abusive users. Content or behavior that harasses, threatens, stalks, sexualizes, defames, or endangers another person is prohibited, and accounts responsible for it will be removed.

Because Salí carries messages, photos, voice notes, and statuses created by users, we provide all of the following:

• Report — every user, message, and status can be reported from within the App. Reports go to our moderation queue.
• Response — we review reports of objectionable content or abuse and act on them, including removing content and suspending or permanently banning accounts, within 24 hours of receipt.
• Block — you can block any user at any time. Blocking is mutual and immediate: you disappear from each other's search, Circles, chats, and alerts. Blocking also ends the friendship between you.
• Filter — automated safety-keyword detection flags messages suggesting distress or danger, and reported content is withheld from further distribution pending review.
• Reach a human — contact us directly at support@salicircles.com or abuse@salicircles.com about any report.

Salí is a safety tool. Using it to monitor, pressure, locate, or intimidate another person against their wishes is a severe violation of these Terms and will result in a permanent ban. If someone is using Salí to do this to you, report them in the App and contact us at abuse@salicircles.com.

6. Circles and location sharing

By joining a Circle, you consent to share your location and safety status with other members of that Circle, subject to your privacy settings. You acknowledge that:

• Circle administrators may have enhanced visibility into member data for safety coordination.
• You should only join Circles organized by people you trust.
• You can disable location sharing or leave a Circle at any time.
• Your name, profile photo, and activity may be visible to all Circle members.

Circle administrators are responsible for managing their Circle in compliance with these Terms, and must not use Circle data to stalk, harass, or control other members.

7. Acceptable use

You agree not to use the Service to:

• File false SOS alerts or abuse emergency features, which may constitute fraud or criminal conduct.
• Stalk, harass, threaten, or harm any other person.
• Share illegal content, including child sexual abuse material, non-consensual intimate imagery, or content that incites violence.
• Impersonate any person or entity or misrepresent your affiliation.
• Interfere with the operation of the App or its infrastructure.
• Circumvent or attempt to bypass any safety feature, encryption, or access control.
• Use the App in any manner that violates applicable local, state, national, or international law.

Abuse of SOS features is a serious misuse of emergency infrastructure. We reserve the right to permanently ban users who repeatedly file false emergency alerts and to report such conduct to law enforcement.

8. Emergency contact consent

By adding a person as an emergency contact, you represent and warrant that you have obtained their consent to receive email notifications from Salí on your behalf, that their contact information is accurate and current, and that you are authorized to share your personal safety data (location, physical description) with them. We are not responsible for the accuracy of emergency contact information provided by users.

9. User content

You retain ownership of content you create within the App, including messages, photos, and voice recordings ("User Content"). By submitting User Content, you grant Salí a limited, non-exclusive license to store, display, and transmit your content solely to operate the Service for you and your Circle members.

You are solely responsible for your User Content, and agree not to submit content that is illegal, harmful, threatening, defamatory, or that infringes any third-party rights. We may remove User Content that violates these Terms without prior notice.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

11. Intellectual property

All software, design, branding, and content comprising the Salí App are the property of Salí and are protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the App without our written consent.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or available at all times; that SOS alerts will be delivered in time to prevent harm; that location data will be accurate or current; or that emergency contacts will receive or respond to notifications.

SALÍ IS NOT AN EMERGENCY DISPATCH SERVICE AND DOES NOT CONTACT 911, POLICE, FIRE, OR EMERGENCY MEDICAL SERVICES ON YOUR BEHALF.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALÍ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of $100 USD or the amount you paid us in the 12 months prior to the claim. Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Salí and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Provisions that by their nature should survive termination shall survive, including disclaimers, limitation of liability, and indemnification.

You may terminate your account at any time via Settings → Delete Account in the App. Deleting your account removes your profile, messages, locations, and uploaded files.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-law provisions. Any disputes shall be resolved by binding arbitration in Denver, Colorado, under the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction. You waive your right to participate in a class action lawsuit or class-wide arbitration against Salí.

17. Changes to these Terms

We may update these Terms at any time. We will provide notice of material changes via the App and, where required, by email. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree, you must stop using the Service.

18. Apple App Store users

If you obtained the App from the Apple App Store, the following also applies. These Terms are between you and Salí only, not with Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. If the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claim relating to the App, including product liability, legal or regulatory non-compliance, or consumer protection claims. Apple is not responsible for investigating or resolving any third-party claim that the App infringes intellectual property rights. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that you are not on any U.S. Government list of prohibited or restricted parties.
